Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you (“Subscriber”) and ReviewMate Inc. (“ReviewMate,” “we,” “us”) for use of the ReviewMate platform at reviewmate.ca. By creating an account or using the service, you agree to these Terms.
1. The Service
ReviewMate is a software-as-a-service (SaaS) platform that allows Canadian businesses to send review request messages (email and/or SMS) to their customers and manage their online reputation. We are not a review platform β we help you direct customers to third-party platforms (such as Google) where they can leave their own honest reviews.
2. Eligibility
- You must be at least 18 years of age.
- You must be operating a lawful business in Canada.
- You must have the legal authority to bind your business to these Terms.
- One account per business. Creating duplicate accounts is prohibited.
3. Free Trial and Subscription
- Free trial: New accounts receive a 14-day free trial with full access.
- Paid subscription: After the trial, a subscription is required to continue sending review requests. Pricing is shown on our Pricing page.
- Billing cycle: Subscriptions are billed monthly (or annually, if you choose the annual plan). Your billing date is the date you activated your paid subscription.
- Cancellation: You may cancel at any time from your account dashboard. Access continues until the end of the current billing period. No refunds are issued for partial months.
- Price changes: We will provide at least 30 days' notice of any price increase by email.
4. Acceptable Use
You agree to use ReviewMate only for lawful purposes. You must not:
- Upload contact information of individuals who have not done business with you
- Offer incentives (discounts, gifts, cash) in exchange for leaving a review β this is prohibited under Canada's Competition Act
- Use the platform to send messages to individuals who have opted out or unsubscribed
- Ask customers to post reviews on Yelp β Yelp's terms prohibit solicitation and penalise businesses whose reviews are flagged as solicited
- Attempt to collect or publish fake, fabricated, or incentivised reviews
- Use the platform to harass, spam, or send unsolicited commercial messages in violation of CASL
- Reverse-engineer, resell, or sublicense the platform
- Upload or transmit malware, viruses, or harmful code
Violation of acceptable use terms may result in immediate account suspension without refund.
5. Your Responsibilities Under CASL
The Canada Anti-Spam Legislation (CASL) places legal obligations on the sender of commercial electronic messages β that is, you, the business. By using ReviewMate, you represent and warrant that:
- You have obtained valid express or implied consent from every contact you upload, in accordance with CASL
- You will honour all unsubscribe requests promptly (ReviewMate processes these automatically within 10 business days)
- Your messages include accurate identification of your business and a working unsubscribe mechanism (ReviewMate provides these by default)
ReviewMate provides tools designed to assist with CASL compliance but cannot guarantee compliance on your behalf. You remain solely responsible for your legal obligations under CASL.
6. Intellectual Property
- ReviewMate retains all rights to the platform, its code, design, and branding.
- You retain ownership of your business data and customer contact lists.
- You grant ReviewMate a limited licence to use your data solely to operate and improve the service.
7. Confidentiality
Each party agrees to keep the other's confidential information (including your customer data and our non-public platform features) strictly confidential and not to disclose it to third parties without prior written consent, except as required by law.
8. Disclaimers
The ReviewMate platform is provided “as is” and “as available.” We make no warranty that:
- The service will be uninterrupted or error-free
- Review requests will result in reviews being posted on third-party platforms
- Your star rating or review count on any third-party platform will improve
Third-party review platforms (Google, etc.) control their own algorithms and content moderation. We have no influence over whether reviews are published, removed, or flagged.
9. Limitation of Liability
To the maximum extent permitted by applicable law, ReviewMate's total liability to you for any claim arising from use of the platform shall not exceed the fees you paid in the 3 months preceding the claim.
We are not liable for indirect, incidental, consequential, or punitive damages, including loss of revenue, loss of data, or reputational harm.
10. Indemnification
You agree to indemnify and hold ReviewMate harmless from any claims, damages, or legal costs arising from: (a) your violation of these Terms; (b) your violation of applicable law, including CASL; or (c) disputes between you and your customers.
11. Termination
- You may close your account at any time.
- We may suspend or terminate your account immediately if you breach these Terms, with or without notice.
- On termination, your data will be deleted in accordance with our Privacy Policy.
12. Governing Law and Disputes
These Terms are governed by the laws of the Province of Ontario and the laws of Canada applicable therein. Any dispute shall be resolved in the courts of Ontario. You waive any objection to Ontario jurisdiction.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated by email at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.
